1. Introduction
These Terms and Conditions govern your use of the Codevall website and any services we provide. By using our website or engaging our services, you agree to these terms.
Codevall is a web development and digital services provider based in Oldham, Greater Manchester, United Kingdom.
2. Services
We provide web design, web development, search engine optimisation (SEO), hosting, and related digital services. Specific terms for each project are agreed in writing before work commences.
3. Quotations and Pricing
- All quotations are valid for 30 days unless otherwise stated
- Quotations are based on the information provided at the time of enquiry
- Additional work beyond the agreed scope may incur additional charges
- All prices are quoted in GBP and are exclusive of VAT unless otherwise stated
4. Payment Terms
- A deposit (typically 50%) is required before work commences
- The balance is due upon project completion, before final files are transferred
- For ongoing services (hosting, SEO), payment is due monthly in advance
- Late payments may incur interest at 8% above the Bank of England base rate
5. Project Timeline and Delivery
- Estimated timelines are provided in good faith but are not guaranteed
- Timelines depend on timely provision of content and feedback from the client
- Delays caused by client may extend the project timeline accordingly
- We will communicate any significant delays as soon as they become apparent
6. Client Responsibilities
The client agrees to:
- Provide all necessary content, images, and information in a timely manner
- Ensure they have rights to use all content provided
- Provide feedback and approvals within reasonable timeframes
- Designate a single point of contact for project communications
7. Intellectual Property
- Upon full payment, the client receives ownership of the final website design and content created specifically for their project
- We retain ownership of any code, frameworks, or tools developed independently or prior to the project
- Third-party software (plugins, themes, libraries) remains subject to their respective licences
- We reserve the right to display completed work in our portfolio unless otherwise agreed
8. Revisions and Changes
- Each project includes an agreed number of revision rounds (typically 2-3)
- Additional revisions beyond the agreed scope may incur additional charges
- Major changes to scope or direction after approval may require a new quotation
9. Monthly Plans, Hosting and Domains
- Monthly plans (Website Plan, add-ons, DIY Website, Managed WordPress, Website & Email Hosting, Care Plan, Growth Plan, Pro Plan and SEO & AI Visibility) are paid in advance by card through our client area and renew automatically until cancelled
- DIY Website, Managed WordPress, Website & Email Hosting and Care Plans are monthly rolling unless paid annually
- The Website Plan has a 12-month term and we will remind you before it ends; Growth and Pro Plans have a 12-month minimum term; SEO & AI Visibility plans and the Fresh Content and Reviews & Links add-ons have a 3-month minimum term; after the minimum term plans continue monthly until cancelled
- The SEO & AI Visibility Audit and the upfront Website Build are one-off payments
- You can cancel from your client area or by emailing us; cancellation takes effect at the end of the current paid period (or the end of any minimum term) and no refunds are given for partial periods
- If a payment fails we will remind you by email; services may be suspended after 14 days unpaid and cancelled, with data deleted, after 28 days unpaid
- Website Plan: once you have made 12 monthly payments, the website we built for you (its design, content and the licence to use our theme on that site) is yours, and you can stay on our hosting or move it elsewhere. If you cancel earlier you can pay the remaining months to own it; your own content and domain are always yours. An upfront Website Build is yours once paid for. Growth and Pro Plan websites remain licensed to you while your plan is active and paid; a buy-out fee applies if you want to own the site outright
- Domain names we register for you are registered in your name (or your business's name) and belong to you; domains renew annually
- We aim for 99.9% uptime but cannot guarantee uninterrupted service, and you should keep your own copies of important content

10. Limitation of Liability
- Our liability is limited to the fees paid for the specific service in question
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for third-party services, software, or hosting issues beyond our control
- We do not guarantee specific search engine rankings or business results
11. Termination
- Either party may terminate a project with 14 days written notice
- Upon termination, payment is due for all work completed to date
- Deposits are non-refundable unless we are unable to commence work
- Work completed will be delivered upon receipt of payment
12. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the project. This obligation continues after project completion.
13. Governing Law
These terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
